2. Client Responsibilities
Clients must provide accurate data, timely approvals, and authorized contacts for operational decisions. Delays in supplying required information may impact delivery timelines and service outcomes.
3. Professional Standards and Limitations
Alpeak Capital Inc. performs services with reasonable professional care and commercially practical safeguards. We do not provide legal, tax, securities, or regulated investment advice unless explicitly stated in a separate signed agreement.
4. Confidentiality and Information Handling
Both parties agree to protect confidential information. Data is accessed on a need-to-know basis for service execution, compliance checks, and quality assurance processes. Confidential data remains protected after the service relationship ends, subject to legal retention duties.
5. Fees, Billing, and Payment Terms
Fees are described in client-specific agreements. Unless otherwise agreed, invoices are payable according to stated due dates. Late payment may result in service suspension or additional administrative charges where legally permitted.
6. Intellectual Property and Work Product
Pre-existing materials, methods, and proprietary systems remain the property of their respective owners. Client-specific deliverables may be used for the client’s internal business purposes unless contractual restrictions apply.
7. Termination
Either party may terminate an engagement in accordance with the applicable agreement. Upon termination, outstanding fees for completed work remain payable, and coordinated transition support may be provided where commercially feasible.
8. Liability Framework
To the maximum extent permitted by applicable law, liability is limited to direct losses and excludes consequential or indirect damages. Aggregate liability is subject to contractual caps stated in the governing agreement.
9. Governing Law and Dispute Resolution
Disputes are handled in good faith through management-level discussions before escalation. Governing law and jurisdiction are determined by contract and applicable legal requirements for the relevant service territory.
